# Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Mnemo Memory API and any related services (collectively, the “Service”) operated by Mnemo (“we”, “us”). By creating an account or calling the API, you agree to these Terms.

## 2. Your account

You must be at least 18 years old and able to enter into a binding contract. You are responsible for all activity that occurs under your account, including activity by your agents and integrations.

## 3. Acceptable use

You agree not to:

- Store or process content that is illegal, infringing, or malicious.
- Attempt to reverse-engineer, probe, or circumvent security controls.
- Resell the Service without a signed reseller agreement.
- Exceed rate limits intentionally or run denial-of-service attacks.
- Use the Service to generate spam or engage in fraudulent activity.

## 4. Data you provide

You retain ownership of all content you submit to the Service. You grant us a limited license to process that content solely to operate the Service on your behalf. We do not train models on your content. You can export or delete your data at any time.

## 5. Fees

Paid plans are billed monthly in advance. Usage overages are billed at the end of each period. You can cancel at any time; cancellations take effect at the end of the current billing period.

## 6. Service availability

We aim for high availability and announce scheduled maintenance at least 48 hours in advance. During beta we do not offer a formal uptime SLA; formal SLAs with availability credits are on the roadmap for paid tiers.

## 7. Termination

We may suspend or terminate your access if you materially breach these Terms. Upon termination, we will provide 30 days to export your data before it is permanently deleted.

## 8. Warranty disclaimer

The Service is provided “as is” without warranty of any kind. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

## 9. Limitation of liability

Our aggregate liability arising out of or relating to these Terms will not exceed the greater of (a) the amounts you paid us in the 12 months preceding the event giving rise to the claim, or (b) $100.

## 10. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.
